SURAT PELABUR

OCTOBER 29, 2026

Hello, again, partners.

We are updating you again to make a couple of points.

Out of our 12 targets for our flagship roll-up program, we have decided to move forward with Japan’s JAFCO Group and Avex, Inc., Korea’s JYP Entertainment, and Australia’s Regal Partners Limited.

We will be acquiring 51%-75% of at least two of those targets, thus being the majority shareholders and controller of the company, while preserving their current operations and management/creative controls.

The duration of our roll-up program is expected to be 24-48 months in total, with this first stage around 6-12 months.

The total financing cost for this first stage is expected to be around $2B, which will include sponsor equity, LP equity, debt syndication, and prime facilities.

We will finalize our contracts for the mandates with the banks and the advisors in the next 2-3 weeks.

We may or may not acquire 5% in TRA (total return swap) contracts of each of those four targets within the next 6 weeks if the private negotiations are stalled or we face some resistance from the companies' management.

There were some pendencies with our filings and legal entities, which is normal due to the company’s recent restructuring. We will address and correct all current administrative pending actions and corrections within the next couple of weeks, as well as register new legal entities and investment advisor licenses in multiple countries, including Japan, Korea, Hong Kong, etc.

All the other targets, including Australia’s NobleOak Insurance, America’s Citizens, Inc., IHeart Media, Capri Holdings, and Japan’s TSI Holdings, will also be reached out to for private negotiations in the next couple of months, but we do not expect to launch tender offers to these ones at the moment. This may change depending on our financing capabilities and the company's response to our offers.

Our fashion thesis, including Capri Holding’s Jimmy Choo and Japan’s TSI Holdings, had to be put on hold due to TSI Holding’s recent merger announcement with WorldCo, and our insurance merger of NobleOak and Citizens, Inc may also be put on hold and pushed for the second stage of the roll-up program.

We have worked on different financial models for the last couple of months using the target companies data, and we are happy with the different scenarios we have drawn for this first stage.

We will now finalize the contracts for our mandates and partners in the USA, as well as complete the registration for our legal entities and reach out to each country’s regulators for preliminary reviews.

We will have any additional news within a month from now and then in January 2027.

Thank you.

OCTOBER 29, 2026

Hello partners.

We have put out a few announcements disclosing our roll-up targets for the upcoming 18 months.

We have decided to name two for now, those being JYP Entertainment and Avex, Inc.

All other 12 targets, including the two mentioned above, will receive the private, pre-bid offers by Monday, November 02nd, and will have a 60-day window to negotiate with us the best offer, with a potential 30-day extension.

All companies, including JYP Entertainment, were informed about the upcoming offers and intention as soon as October 21st, days before the news release.

We are filing tomorrow with the SEC the 10-K and 8-K forms, disclosing the roll-up strategy, the financing, and the team structure for this program.

We should also be announcing the names of our new hires and advisors within the next couple of weeks.

There are currently multiple options being considered on the table. We may or may not acquire the stakes regardless if there’s a board approval or not, but we are certain we will be acquiring 51% in at least two companies in the next 12 months, one in finance and another one in culture, with a preference for companies based in Japan and Asia.

We are extending our legal entity structure and opening our new offices in Tokyo and NY in the upcoming few weeks, and we should have acquired, at least, some swap contracts by then.

Let’s begin the execution now and focus on the actual work and ignore any nuisance noise and speculation for now.

Thank you.

Subject: NEXROC Group — Global Acquisition Strategy, Capital Formation & Ten-Year Outlook

Hello,

Following extensive research, strategic evaluation, and financial planning, we have finalized and narrowed our global acquisition target universe to 15 companies across multiple geographies and industries, forming the foundation of our proposed international acquisition and consolidation strategy.

We have developed the framework for our sponsor investment book, structured around achieving attractive acquisition price-to-earnings multiples, diversifying revenue streams, and targeting 15%–25% annualized sponsor and investor returns over a five- to ten-year investment horizon.

Strategic Structure and Execution

Our sponsor proposition is built around a ten-year transformation into a global financial and consumer holding company, supported by acquisitions, asset management, insurance, banking, reinsurance, structured credit, and diversified consumer businesses.

Our acquisition financing strategy will follow a separate, more immediate underwriting process.

The sponsor investment book, incorporating our five- to ten-year strategic outlook, will be presented first. We will subsequently engage with the boards and relevant controlling shareholders of our identified targets to explore alternative acquisition, merger, and strategic partnership structures.

Based on the responses received, transaction feasibility, regulatory considerations, and preliminary financial diligence, we intend to prioritize three to four companies for our initial 30-month acquisition phase.

Once these initial transactions have been identified and sufficiently developed, we will prepare transaction-specific debt models and financing packages for consideration by prospective Mandated Lead Arrangers (MLAs).

Our initial acquisitions are intended to be funded through sponsor equity commitments, bridge financing, and available proprietary capital. Subsequent committed credit facilities, where approved, would support transaction completion, refinancing, and further expansion.

This sequencing is designed to preserve capital, reduce unnecessary underwriting expenditure, and concentrate institutional financing resources on transactions with demonstrable execution potential.

Financial Infrastructure and Long-Term Value Creation

Our acquisition roll-up strategy represents only one component of our broader financial architecture.

The acquired businesses are intended to provide the operational foundation, recurring revenue, financial infrastructure, and investment-management capabilities necessary to support our principal long-term profit engines:

Reinsurance, asset-backed credit, structured financing, and technology-oriented financial solutions.

These activities will be developed alongside our diversification and hedging strategies, with appropriate capitalization, risk management, regulatory oversight, and independent underwriting.

Ten-Year Financial Targets

Our preliminary long-term targets contemplate the following potential combined financial scale:

Financial category — Ten-year target
Asset Management — AUM / FUM: $150 billion
Banking — Total Assets: $50.2 billion
Insurance — Managed / Investment Assets: $150 billion
Combined Financial Asset Exposure: Approximately $350.2 billion

These figures represent strategic ambitions across different financial asset classifications, rather than currently managed assets or a single consolidated AUM measure.

We are additionally evaluating the following long-term performance objectives:

Financial metric — Target
Annual net profit: $250 million–$1.5 billion
Potential IPO equity valuation, per public vehicle: $1 billion–$5 billion
Annualized shareholder return: 16%–24% from Year 5 onward
Target net profit margin: 25%
Illustrative acquisition earnings yield: 10%, equivalent to 10× acquisition P/E
Target nonfinancial operating-company net debt / EBITDA: 1.0×–2.0×
Annual share-price appreciation objective: 3%–8%
Annual dividend yield objective: 3%
Target financing-vehicle credit quality: Investment grade, subject to independent assessment

These objectives remain subject to financial modeling, acquisitions completed, market conditions, capital structure, independent credit evaluations, and regulatory approvals. They are not forecasts or guaranteed investment returns.

Proprietary Brands and Additional Investment Platforms

Our original brands represent a further opportunity for long-term revenue growth, intellectual-property creation, and enterprise value development.

Capital for additional acquisitions, new investment funds, AUM expansion, and our proprietary brand-development initiatives is intended to be raised through dedicated investment vehicles, institutional partnerships, and separately capitalized structures, rather than relying exclusively on the Group's principal balance sheet.

Our objective is to retain at least 51% equity ownership and corresponding economic participation, where commercially and legally feasible, while enabling independent capital formation and risk allocation at the individual investment-platform level.

Our Long-Term Vision

Our ambition is to establish NEXROC as a pioneering financial group for the twenty-first century, with particular emphasis on the intersection of artificial intelligence, reinsurance, asset-backed credit, capital markets, and next-generation financial infrastructure.

We intend to pursue this strategy through disciplined diversification, hedging, strategic partnerships, responsible capital allocation, and a robust compliance and governance framework.

Our proposed executive leadership team, external advisers, strategic partners, and capital sponsors will be introduced through forthcoming official communications, as appointments and engagements are finalized.

A comprehensive strategic implementation calendar, including our capital formation, board-engagement, acquisition, and financing milestones, will also be released.

Thank you.
